Based on the legal requirements of Art. 8 of the Swiss Financial Services Act (FinSA), we supply you with this information sheet, which provides an overview of Verium AG (hereinafter referred to as “Verium”) and its services.

Supervisory authority and audit firm
Verium has been licensed as a manager of collective investment schemes since 2023 in accordance with the Swiss Financial Market Supervision Act (FinIA) and is therefore subject to the prudential supervision of the Swiss Financial Market Supervisory Authority (FINMA). Prior to this, Verium was affiliated with the self-regulatory organization AOOS. Within the framework of prudential supervision, Verium is audited by the audit firm PricewaterhouseCoopers (hereinafter “PwC”) both with regard to regulatory and statutory audit requirements.

Ombudsman
Verium is affiliated with the independent ombudsman Ombud Finanzen Schweiz (hereinafter “OFS”), which is recognised by the Swiss Federal Department of Finance. Disputes concerning legal claims between clients and Verium should, where possible, be resolved through mediation proceedings conducted by the ombudsman. The contact details of OFS are set out below.

B. Information on the financial services offered

Verium provides asset management services as well as portfolio-related investment advisory services to its clients. Under an investment advisory mandate, clients receive a personal recommendation relating to individual financial instruments. The final decision to buy or sell always remains with the client.

Verium does not guarantee any return or success in connection with investment activities. Investment activities may therefore result in both gains and losses in value.

Verium has all the necessary licenses to perform the services described above

C. Client Segmentation

Financial service providers are required to classify their clients into a client segmentation according to the law and adhere to the respective code of conduct. FinSA provides for ‘retail clients’, ‘professional clients’ and ‘institutional clients’ segments. For each client, client classification is determined within the framework of cooperation with Verium. Subject to certain conditions, the client may change the client classification by opting out.

Verium provides its services exclusively to professional and institutional clients.

D. Information on risks and costs

General risks associated with financial instrument transactions
Investment advisory and asset management services involve financial risks. Prior to entering a contract, Verium draws all clients’ attention to the brochure “Risks Involved in Trading Financial Instruments”. This brochure is available free of charge on the website of the Swiss Bankers Association (www.swissbanking.ch/en/services/downloads). If required, the brochure may also be provided by Verium.

Risks associated with the services offered
For a description of the various risks that may arise from the investment strategy applied to the client’s assets, reference is made to the relevant investment advisory and asset management agreements.
Information on costs
A fee is charged for the services provided, which is generally calculated on the basis of the assets under management and/or on a performance basis. For more detailed information, reference is made to the relevant investment advisory or asset management agreements.

E. Information about relationships with third parties

In connection with the financial services offered by Verium, economic ties to third parties may exist. The acceptance of payments from third parties and their treatment are regulated in detail and comprehensively in the respective investment advisory or asset management agreements.

F. Information on the market offer considered

Verium basically follows an «open universe approach» and tries to make the best possible choice for the client when selecting financial instruments.
